SpeakON ("SpeakON", "we", "us", or "our") is a product of NOTTA PTE. LTD. These Terms of Service ("Terms") govern your access to and use of the SpeakON hardware device (the "Device"), mobile application (the "App"), and related services (collectively, the "Services"). By using or accessing the Services, you agree to be bound by these Terms and our Privacy Policy.
"Agent Features" means features that can plan or perform multi-step tasks at your direction, including researching information, accessing or interacting with websites, applications or Connected Services, processing files or other content, executing code, and creating, modifying, sending, submitting or otherwise taking actions on your behalf.
You must be at least 13 years old, or the minimum age required in your jurisdiction to consent to the use of the Services, whichever is higher. If you are under 18 years old, you may use the Services, including Agent Features, only with the permission and supervision of your parent or legal guardian.
Your parent or legal guardian must review and agree to these Terms on your behalf and is responsible for your use of the Services. SpeakON may restrict certain features or actions based on age, applicable law, or safety considerations.
1. Your Account & Access
A. Account Registration
You may access certain features of the Services as a guest without registering an account ("Guest Access"). For full access to all features and to store your preferences and content, you must create an account.
B. Account Information
If you choose to create an account, you agree to provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account and password, and for all activities that occur under your account.
2. Your Content & AI Features
A. Your Content
You retain ownership of Customer Content. "Customer Content" means content you submit, upload, record, generate, or otherwise provide through the Services, including Input and Output. To provide, maintain, secure, and protect the Services, you grant SpeakON a worldwide, non-exclusive, royalty-free, sublicensable license to use, copy, process, transmit, modify, display, and create technical or functional derivatives of Customer Content solely as necessary to provide the Services, operate requested features, maintain security, troubleshoot issues, prevent abuse, and comply with applicable law. SpeakON does not use Customer Content to train SpeakON AI models or third-party AI models. This does not prevent SpeakON from using aggregated, anonymized, or de-identified information for analytics, security, service improvement, or other lawful business purposes.
B. AI Inputs and Outputs
The Services use large language models ("LLMs") and other artificial intelligence features. When you provide audio, text, or other materials ("Input"), SpeakON uses AI to generate responses ("Output"). Input and Output are considered Customer Content. You own your Output to the extent permitted by applicable law and subject to any rights of third-party service providers. SpeakON does not guarantee that Outputs will be unique or exclusive.
C. Use of Third-Party AI and Infrastructure Providers
To provide AI, transcription, speech processing, Cloud Sync, and related features, SpeakON may use third-party AI, speech, cloud infrastructure, and service providers. These providers process Customer Content only on our behalf and under contractual restrictions. We contractually require third-party AI and infrastructure providers that process Customer Content for us not to use that content for their own AI model training, independent advertising, or unrelated purposes. Your use of certain AI, transcription, cloud, or connected-service features may also be subject to applicable third-party terms and policies.
Personal Information that SpeakON stores or processes, or that service providers process on our behalf, is currently hosted and processed in the United States, including through Amazon Web Services infrastructure located in U.S. regions. We require service providers that process Personal Information on our behalf to comply with our documented instructions, contractual confidentiality and security obligations, and applicable law.
This U.S.-only statement does not apply to information that you direct Agent Features to transmit to a Connected Service, website, recipient, or other third party. Such third parties process information in accordance with their own terms and privacy policies, and their processing locations may differ.
If we materially change the locations in which Personal Information is stored or processed by or on behalf of SpeakON, we will update our Privacy Policy and provide any notice or obtain any consent required by applicable law.
D. Cloud Sync, SpeakON Notes, and Retention
SpeakON may make transcripts, generated text, dictation history, and SpeakON Notes available across your devices when Cloud Sync is enabled. Original voice recordings are retained only for the short term necessary to provide the service output, then deleted unless you explicitly consent for feedback analysis or retention is otherwise required or permitted by law. Transcripts, generated text, edits, dictation history, and SpeakON Notes may be retained for as long as needed to provide the Services, maintain your account, support user-requested features, or comply with applicable legal obligations. You may delete saved content in the App, subject to retention required or permitted for legal, security, fraud prevention, dispute resolution, backup, or other legitimate business purposes.
Agent task history and saved outputs are retained while they remain available in your account or until you delete them. If you delete an Agent task or your account, the associated Agent task data will be deleted from our active systems within 30 days and from backups within an additional 30 days, unless a longer period is required or permitted for security, fraud and abuse prevention, dispute resolution, enforcement of our agreements, or legal compliance.
Temporary execution data, including intermediate files, webpage screenshots, browser state, tool results, and diagnostic information, is retained only for as long as reasonably necessary to complete the task, maintain task continuity, secure and troubleshoot the Services, and prevent abuse. Unless you choose to save such information or a longer period is reasonably necessary for one of those purposes, temporary execution data will be automatically deleted within 30 days after completion or termination of the relevant task.
Authentication credentials, Cookies, and session tokens used to connect third-party services are encrypted and retained only for as long as necessary to maintain the connection authorized by you. They will be deleted, revoked, or otherwise rendered unusable after you disconnect the relevant service, the credential expires or is revoked, or the credential is no longer necessary for the authorized purpose.
Records reasonably necessary for security and abuse prevention, including relevant Agent action logs, confirmation records, and safety-review records, may be retained for up to 90 days, or for a longer period where reasonably necessary to investigate a suspected violation, protect users or the Services, comply with law, or establish, exercise, or defend legal claims.
Actual retention periods may vary depending on the type, amount, and sensitivity of the data; the purposes for which it is processed; your settings and deletion choices; the risk of harm from unauthorized use or disclosure; and applicable legal requirements. When data is no longer required, we delete or de-identify it in accordance with our retention schedule.
E. Connected Services
If you choose to connect Google or another third-party service, you authorize SpeakON to access and process only the account information, permissions, and content needed to provide the connected feature. This may include selected text, documents, calendar information, email, Slack content, Google Workspace information, or other connected-service content, depending on the features you use and the permissions you grant. You are responsible for ensuring that you have the right to connect and use any third-party account or content with the Services. You may disconnect supported connected services through the applicable account or app settings.
F. Agent Actions and User Authorization
Agent Features may access information and take actions through websites, applications, or Connected Services based on your instructions and the permissions you grant. You are responsible for ensuring that you have authority to access the relevant account, content, and service and to instruct SpeakON to perform the requested action.
Before allowing an Agent Feature to send a communication, initiate or manage an event involving potential conflict, place a call, publish content, make or cancel a purchase or reservation, transfer or delete data, change account settings, deploy code, or take another action with material external consequences, you must review the relevant target, recipient, content, permissions, and consequences. SpeakON may require additional confirmation or refuse or pause an action. The types of actions requiring confirmation may expand as Agent Features evolve.
Agent Features may encounter inaccurate information, malicious instructions, or prompt-injection attacks on third-party services. You should grant only the permissions necessary for the task, monitor the task, and stop it if an action appears unexpected. Actions taken through third-party services may be subject to their terms and may not be reversible by SpeakON.
Agent Features must not be used to make fully automated decisions about another person that produce legal or similarly significant effects in areas such as employment, housing, credit, insurance, education, healthcare, legal services, essential services, or law enforcement without legally required safeguards and meaningful human review.
G. No Warranties on Output
SpeakON makes no representations or warranties regarding the accuracy, reliability, completeness, or suitability of any Output. Outputs generated by AI may contain errors, hallucinations, biases, omissions, or misinterpretations (e.g., due to accents, background noise, context, or sarcasm). You must independently review, verify, and edit all Outputs before relying on them for any purpose, including business, legal, or personal decisions. SpeakON strongly recommends implementing human oversight for all AI-generated content. You assume all risks associated with the use of Outputs.
H. Regulated and Sensitive Information
Unless SpeakON expressly states otherwise or enters into a separate written agreement with you, the Services are not intended to satisfy legal or regulatory requirements that apply to specially regulated data or processing environments, such as protected health information, regulated financial information, government-classified information, or data subject to sector-specific security obligations. You must not submit or authorize access to regulated, privileged, confidential, or sensitive information unless you have the necessary rights and permissions and have determined that the Services are appropriate for that use. You remain responsible for complying with professional duties, confidentiality obligations, and applicable law.
3. Restrictions
You agree not to misuse the Services. Prohibited activities include:
- Violating any applicable laws or regulations.
- Using the Services to infringe upon the rights of others.
- Reverse engineering, decompiling, or attempting to extract the source code of the Services.
- Introducing malicious software or engaging in activities that disrupt the Services.
- Using the AI Features to generate content that is abusive, harassing, or discriminatory.
- Using the Services to record or transcribe another person's speech without their consent.
- Misusing the Device, including attempting to modify, tamper with, or bypass hardware or firmware protections.
- Threatening, intimidating, stalking, harassing, or unlawfully targeting another person.
- Planning, facilitating, encouraging, or carrying out violence, physical injury, terrorism, weapons-related harm, destruction of property, or malicious damage to systems.
- Defrauding, scamming, phishing, spamming, impersonating, or misleading others.
- Gaining unauthorized access to accounts, devices, systems, networks, data, or Connected Services.
- Bypassing rate limits, safety safeguards, user confirmations, access controls, or other restrictions.
- Using automated or programmatic means not expressly authorized by SpeakON to access, extract from, or operate the Services.
- Causing Agent Features to take an action that you are not legally authorized to take yourself.
- Using the Services in a manner that creates a material risk of harm to another person, SpeakON, other users, or third parties.
SpeakON is designed for user-directed voice workflows and is not intended for secretly recording others. If you use the Services to record, upload, transcribe, summarize, or otherwise process speech that includes another person, you are responsible for obtaining any consent required by applicable law before using the Services. In jurisdictions requiring all-party consent, failure to obtain consent may violate law, and you are solely responsible for compliance. To the fullest extent permitted by law, SpeakON disclaims responsibility for any recording, transcription, or processing conducted without required consent.
4. Our Intellectual Property
The Services, including all software, text, and graphics, are owned by SpeakON and NOTTA PTE. LTD. and are protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property.
5. Paid Services and Payment Terms
A. Paid Services
Certain features require a paid subscription. You can cancel your subscription at any time. Fees are billed in advance and are non-refundable except as required by law. You will be clearly informed of the terms of any recurring subscription, including the amount, billing frequency, and cancellation method, prior to purchase. By subscribing, you authorize us (or the applicable platform) to charge your payment method on a recurring basis until you cancel. We may change subscription fees with reasonable notice to you.
B. Pricing, Subscriptions, and Payments
Certain features of the Services and the purchase of the Device may require payment.
- Pricing: Prices are displayed in applicable currencies and may be subject to change at any time.
- Payment Processing: Payments may be processed through third-party providers such as Shopify or Apple App Store. We do not store full payment card details.
- Subscriptions: Some features require a recurring subscription. Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date.
- Cancellation: You may cancel your subscription at any time through your account settings or the applicable platform. Cancellation will take effect at the end of the current billing cycle unless otherwise required by applicable law.
- Refunds: Except as required by applicable law, all fees are non-refundable. Additional details regarding refunds, shipping, and returns may be outlined in separate policies available on our website. Nothing in these Terms limits any rights you may have under applicable consumer protection laws.
- Third-Party Platforms: If you subscribe via third-party platforms (e.g., Apple App Store), billing and subscription management are governed by the terms of those platforms.
C. Unlimited Word Use and Fair Use
Where one eligible Device is validly bound to one individual account, SpeakON may provide unlimited word usage for the personal, ordinary, and human-initiated use of the applicable features by that account holder. "Unlimited" means that no fixed word quota applies to such ordinary use; it does not mean unrestricted, unconditional, shared, transferable, or guaranteed access under all circumstances.
You may not use unlimited access:
- through an API, bot, script, automated tool, or other programmatic method unless expressly provided or authorized by SpeakON;
- to resell, share, pool, transfer, or operate the Services for another person or account or as a service bureau;
- to circumvent usage limits, technical restrictions, security measures, or account controls;
- to scrape or systematically extract data or Output;
- to conduct vulnerability scanning, load testing, denial-of-service activity, or other attacks without our prior written authorization; or
- in a manner that places an unreasonable or disproportionate load on the Services or interferes with other users.
To protect the availability, security, and integrity of the Services, SpeakON may apply reasonable rate limits, concurrency limits, throttling, or other technical controls. Where practicable, we will notify you before restricting access for non-urgent fair-use concerns and provide a reasonable opportunity to correct the issue. We may act immediately where we reasonably believe the activity is fraudulent, malicious, creates a security emergency, or materially affects the Services or other users. Repeated or serious violations may result in suspension or termination of the account.
6. Device Orders, Shipping, and Returns
A. Shipping Regions
Devices may currently be shipped only within certain regions, as indicated on our website or during checkout. We may update supported shipping regions from time to time.
B. Order Processing and Shipping
Orders are typically shipped within 1–2 business days from U.S.-based warehouses, excluding weekends and holidays. Estimated delivery is usually around 5 business days after shipment, but delivery times may vary depending on destination, carrier performance, weather, holidays, peak shipping periods, product launches, or other circumstances outside our control. Shipping estimates are not guaranteed delivery dates.
C. Order Changes
Orders generally cannot be modified once processing has begun, except as required by applicable law or as otherwise permitted by us.
D. Returns & Refunds
Hardware purchases are subject to the Return & Refund Policy available on our website. Nothing in these Terms limits any rights you may have under applicable consumer protection laws.
E. Warranty
Devices may be covered by a limited warranty as described in our Warranty Policy.
7. Suspension, Restrictions and Termination
You may stop using the Services at any time. SpeakON may refuse or stop a task, issue a warning, limit usage or concurrency, restrict particular features, suspend access, terminate an account, or prevent re-registration where we reasonably determine that:
- you have violated these Terms or an applicable policy;
- your activity appears fraudulent, abusive, malicious, or unauthorized;
- your use creates or is reasonably likely to create a security emergency, unreasonable service load, or risk of harm to SpeakON, another user, or any other person;
- a credible threat of violence or serious harm to another person has been identified; or
- action is required by applicable law or a valid legal request.
We may act immediately and without prior notice where reasonably necessary to prevent harm, protect the Services, preserve evidence, or comply with law. In other cases, where practicable, we may provide notice and an opportunity to correct the violation. In determining the appropriate action, we may consider the severity, intent, recurrence, and actual or potential impact of the conduct.
Where appropriate and legally permitted, we will notify you of a suspension or termination and provide a method to request review by contacting support@speakon.app. SpeakON does not undertake a general duty to monitor all Customer Content or guarantee that it will identify or prevent every harmful activity. Upon termination, your right to use the Services will immediately cease.
8. Disclaimer of Warranties
The Services are provided "as is" and "as available" without any warranties of any kind, either express or implied. To the fullest extent permitted by law, SpeakON disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. You are responsible for reviewing, verifying, and editing all AI-generated or transcription-generated Output before relying on it. SpeakON does not guarantee that transcripts, summaries, notes, edits, or other AI-generated output will be complete, accurate, unique, or suitable for any particular purpose.
9. Limitation of Liability
To the extent not prohibited by law, SpeakON shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of your access to or use of the Services, including any Output. To the fullest extent permitted by law, SpeakON’s total liability arising out of or relating to these Terms or the Services shall not exceed the total amount you paid to SpeakON in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless SpeakON and its affiliates from any claims, damages, or losses arising from your use of the Services, your Customer Content, or your violation of these Terms.
11. Governing Law and Dispute Resolution
You and SpeakON agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved through binding arbitration on an individual basis. You and SpeakON agree that disputes must be brought only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. Class arbitrations, class actions, and representative actions are prohibited to the fullest extent permitted by applicable law.
12. Changes to Terms
We may modify these Terms from time to time. We will post the most current version on our website. By continuing to use the Services after changes become effective, you agree to be bound by the revised Terms.
